1. Acceptance of Terms

By accessing or using LyrClip (lyrclip.com), a service provided by Florenzo Technologies ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.

These Terms apply to all users of LyrClip, including individual users, organisations, and church entities. By connecting a social media account, you additionally agree to the platform-specific terms in Section 6.

2. Description of Service

LyrClip is a software-as-a-service (SaaS) platform for church content teams that allows users to:

  • Upload video files to secure cloud storage
  • Generate AI-powered transcripts with word-level timestamps
  • Create short video clips by selecting portions of the transcript
  • Render branded 9:16 vertical clips via cloud-based processing
  • Download rendered clip files
  • Publish clips directly to connected social media accounts (YouTube, Facebook, Instagram, TikTok)
  • Configure automated comment replies on published posts (optional, opt-in feature)

We reserve the right to modify, suspend, or discontinue any feature of the service at any time.

3. Account Registration

To use LyrClip, you must create an account by providing a valid email address and creating a password, or by using a supported OAuth provider (Google or Facebook).

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use at hello@lyrclip.com

You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to use LyrClip to:

  • Upload content you do not own or have sufficient rights to process and distribute
  • Upload pornographic, violent, or illegal content
  • Violate any third-party intellectual property rights, including copyright in music or film
  • Publish content to social media platforms in violation of those platforms' community guidelines or terms of service
  • Use the automated commenting feature to spam, harass, or mislead other users
  • Attempt to reverse-engineer, scrape, or abuse the platform
  • Use the service for any unlawful purpose
  • Upload malware or harmful code
  • Circumvent rate limits or abuse API quotas allocated to LyrClip by third-party platforms

We reserve the right to suspend or terminate accounts that violate these conditions without notice.

5. Content Ownership & License

Your content:

You retain full ownership of all video files, audio files, transcripts, and rendered clips you create through LyrClip. We do not claim any ownership over your uploads or outputs.

License you grant us:

By uploading content, you grant Florenzo Technologies a limited, non-exclusive, royalty-free license to store, process, transmit, and publish your content solely for the purpose of providing the service to you. This includes transmitting your content to social media platforms at your explicit instruction. This license ends when you delete your content or close your account.

Your responsibility:

You represent and warrant that you own or have sufficient rights to upload, process, and distribute the content you submit. You are solely responsible for ensuring your use of uploaded content does not infringe any third-party rights, including copyright in sermon recordings, worship music, or any other media.

Important note on copyrighted music:

If your sermon video includes copyrighted worship music, you are responsible for ensuring you hold the appropriate licences (e.g., CCLI, OneLicense) before distributing clips containing that music on social platforms. LyrClip does not clear music rights on your behalf.

6. Social Media API Permissions

Write-access disclosure: LyrClip requests write-access permissions to your social media accounts for the sole purpose of publishing content and managing comments on actions you explicitly trigger. We will never post, publish, or comment on your behalf without a direct instruction from you within the LyrClip platform.

Permissions requested by platform:

  • YouTube (Google): youtube.upload — to upload rendered clips to your channel; youtube.force-ssl — to post automated replies to comments when the Auto-Reply feature is enabled; youtube.readonly — to display channel information in your dashboard.
  • Facebook / Instagram (Meta): pages_manage_posts — to publish clips to your Facebook Page; instagram_content_publish — to publish clips to your Instagram account; instagram_manage_comments — to post automated replies to comments when the Auto-Reply feature is enabled.
  • TikTok: video.upload — to publish clips to your TikTok account; user.info.basic — to identify and display the connected account.

Google API Services disclosure:

LyrClip's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

  • Data obtained via Google APIs is used only to provide the features you activate within LyrClip.
  • We do not use Google user data to serve advertising.
  • We do not allow humans to read Google user data unless required for security, legal compliance, or with your explicit permission.
  • We do not sell Google user data.

Token management:

  • Encrypted OAuth tokens are stored in our Supabase database to maintain your connected account across sessions.
  • Tokens are never stored in plain text. All token storage uses AES-256 encryption at rest.
  • You can disconnect any social media account at any time from Settings → Social Integrations. This immediately deletes the stored token.

7. Media Processing & Audio Extraction

Processing pipeline:

When you upload a video to LyrClip, the following processing occurs on your behalf:

  • Your video file is stored in encrypted cloud storage (Supabase Storage / Amazon S3).
  • An audio-only version is extracted from the video using FFmpeg running on AWS Lambda. This is required for transcription and is not distributed.
  • The extracted audio is processed by OpenAI Whisper to generate a word-level transcript.
  • When you export a clip, AWS Rekognition may analyse a frame of the video to detect the speaker's face position for smart 9:16 cropping.
  • Remotion renders a branded clip with your church's logo, colours, and lower-third text overlay.

Ownership of extracted audio:

Extracted audio files remain your property. They are available for download from your LyrClip dashboard and are deleted in accordance with the data retention schedule in Section 9.

Third-party processing:

By using LyrClip, you consent to your video and audio content being processed by our third-party infrastructure providers (AWS, OpenAI, Supabase) under the terms described in our Privacy Policy. These providers process your content solely as data processors acting on our instructions.

8. Automated Commenting & Anti-Spam Policy

Feature description:

LyrClip offers an optional, opt-in automated comment reply feature. When enabled, LyrClip monitors new comments on posts published through LyrClip and posts a user-defined reply when a comment matches a user-defined keyword trigger (e.g., reply "Here's the sermon link: [URL]" to any comment containing the word "link").

Your obligations when using this feature:

  • You must configure keyword triggers and reply text that are honest, relevant, and compliant with the community guidelines of the platform where replies will be posted.
  • You must not configure automated replies to harass, mislead, or spam other users.
  • You accept responsibility for all automated comments posted under your social media accounts through LyrClip.
  • You acknowledge that misuse of this feature may result in action by the social media platform, including account restriction, and that Florenzo Technologies bears no liability for such consequences.

Our commitments:

  • LyrClip will only post automated replies on posts published through LyrClip and only to comments on those posts.
  • We do not read, store, or analyse comment content beyond the moment of keyword evaluation.
  • We do not use the commenting feature to post promotional content on your behalf.
  • The feature is disabled by default and requires deliberate activation.

9. Data Retention & Deletion

How to delete your data: Delete individual files from your dashboard. To delete your entire account and all data, go to Settings → Account → Delete Account. For assistance, email privacy@lyrclip.comwith subject "Data Deletion Request."

Retention schedule:

  • Original uploaded videos: retained until you delete them or close your account.
  • Extracted audio files: retained until you delete them or close your account.
  • Transcripts and clip metadata: retained until you delete them or close your account.
  • Rendered video clips: may be automatically purged from storage after 7 days to manage infrastructure costs. Clip settings are retained so you can re-render on demand.
  • Social media OAuth tokens: retained until you disconnect the account or close your account.
  • Billing records: retained for 7 years as required by law.

Account closure:

Upon account deletion:

  • All video, audio, transcript, and clip files are permanently deleted from cloud storage within 30 days.
  • All OAuth tokens are immediately and permanently deleted.
  • All account and profile data is permanently deleted within 30 days.
  • Billing records are retained for the legally required period.

Disconnecting social accounts:

To disconnect a social media account, go to Settings → Social Integrations and click "Disconnect." LyrClip will immediately delete the stored token and permanently lose access to that account. You may also revoke access directly from the social media platform's settings.

10. Payments & Billing

Subscription:

Paid plans are billed on a monthly or annual basis. Billing begins on the date you upgrade and recurs on the same date each period.

Payment:

Payments are processed by Stripe (international) or supported local payment providers (Paystack, Flutterwave) for Nigerian users. By subscribing, you authorise Florenzo Technologies to charge your payment method on a recurring basis.

Cancellation:

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

Trials:

Where a free trial is offered, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid any charge.

Price changes:

We will provide at least 30 days notice of any price changes via email.

11. Intellectual Property

LyrClip, the LyrClip logo, and all associated software, designs, and trademarks are the property of Florenzo Technologies. You may not use our branding, trademarks, or intellectual property without prior written permission.

The LyrClip platform, including its AI transcription pipeline, clip selection engine, brand overlay system, and Remotion rendering infrastructure, is proprietary software owned by Florenzo Technologies.

12. Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms
  • We receive a valid platform policy violation report from a connected social media provider
  • We are required to do so by law
  • Your account has been inactive for more than 12 months on a free plan

You may terminate your account at any time by deleting it from your account settings. Upon termination, your data will be deleted within 30 days in accordance with Section 9.

13. Disclaimers

LyrClip is provided "as is" and "as available" without warranties of any kind. We do not guarantee that:

  • The service will be uninterrupted or error-free
  • Transcription will be 100% accurate for all accents, languages, or audio quality levels
  • Clips will render perfectly in all edge cases
  • Social media publishing will succeed if the connected platform's API is unavailable or if your account permissions change
  • Automated comment replies will always meet the recipient platform's community guidelines given changes to those guidelines

We are not responsible for any content you upload, share, publish, or distribute using LyrClip, nor for any actions taken by social media platforms as a result of your use of our features.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Florenzo Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of LyrClip, including loss of data, loss of revenue, reputational damage, or platform account suspension by a third-party social media provider.

Our total liability to you for any claim arising out of or related to these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Anambra State, Nigeria, unless applicable consumer protection laws in your jurisdiction require otherwise.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the new Terms.
